2. Quotes and Orders
2.1 Quotes. All quotes provided by RIM Camping are valid for thirty (30) days from the date of issuance unless otherwise specified. Quotes are estimates based on the information provided by the Client and are subject to adjustment based on final site conditions, permitting requirements, and material costs at the time of order confirmation.
2.2 Orders. An order is considered confirmed upon execution of a Service Agreement and receipt of any required deposit. RIM Camping reserves the right to decline any order at our discretion.
2.3 Changes. Material changes to scope, crew size, location, or timeline after order confirmation may result in adjusted pricing and extended delivery timelines. All changes must be documented in writing and approved by both parties.
3. Payment Terms
3.1 Pricing. All prices are quoted in U.S. dollars. For rental services, pricing is typically structured as monthly per-person rates or monthly flat rates as detailed in the applicable Agreement.
3.2 Deposits. A deposit of up to 50% of the estimated project value may be required to initiate mobilization. Deposit amounts are specified in the Service Agreement.
3.3 Invoicing. Recurring charges are invoiced monthly in advance. Equipment purchases and one-time charges are invoiced upon shipment or delivery. Payment is due within thirty (30) days of the invoice date (Net 30) unless alternative terms are specified in the Agreement.
3.4 Late Payments. Overdue invoices accrue interest at 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. Client is responsible for all collection costs, including reasonable attorney fees, incurred by RIM Camping to collect overdue amounts.
3.5 Online Purchases. Equipment and supplies purchased through our online shop are subject to full payment at the time of checkout via accepted payment methods (credit card, ACH, wire transfer). All online sales are final unless covered by our return policy.
4. Delivery and Mobilization
4.1 Timelines. Delivery and setup timelines provided are estimates and may be affected by weather, site access, permitting, and supply chain factors. RIM Camping will communicate any anticipated delays promptly.
4.2 Site Access. Client is responsible for ensuring adequate site access for delivery vehicles and equipment, including cleared roads, level ground, and any necessary permits or permissions from landowners or authorities.
4.3 Site Preparation. Unless explicitly included in the Agreement, site grading, foundation preparation, utility connections to external infrastructure, and environmental compliance are the responsibility of the Client.
5. Equipment Use and Care
5.1 Permitted Use. Rented equipment and housing units shall be used solely for the purpose described in the Agreement. Client shall not modify, alter, sublease, or relocate any equipment without prior written consent from RIM Camping.
5.2 Maintenance. Client is responsible for routine cleaning and basic upkeep of rented units unless maintenance services are included in the Agreement. RIM Camping is responsible for structural repairs and equipment malfunction not caused by misuse.
5.3 Damage. Client is liable for damage to equipment, housing units, or infrastructure caused by negligence, misuse, unauthorized modifications, or failure to follow operating guidelines. Normal wear and tear is excluded. Repair or replacement costs will be invoiced to the Client at fair market value.
6. Demobilization and Return
Upon expiration or termination of a rental agreement, RIM Camping will coordinate demobilization and removal of all equipment. Client must ensure units are vacated, cleared of personal property, and accessible for removal within five (5) business days of the agreement end date. Additional rental charges apply for delayed return access.
7. Limitation of Liability
7.1 Maximum Liability. To the fullest extent permitted by law, RIM Camping’s total aggregate liability for any claims arising out of or related to our services, equipment, or this agreement shall not exceed the total amount paid by the Client to RIM Camping during the twelve (12) months preceding the claim.
7.2 Exclusion of Damages. In no event shall RIM Camping be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, project delays, or loss of data, regardless of the theory of liability.
7.3 Force Majeure. RIM Camping shall not be liable for delays or failures in performance resulting from acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, supply chain disruptions, or other events beyond our reasonable control.
8. Indemnification
Client agrees to indemnify, defend, and hold harmless RIM Camping, its officers, directors, employees, agents, and subcontractors from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to: (a) Client’s use of the equipment or services; (b) Client’s breach of these Terms or any Agreement; (c) personal injury or property damage occurring at the Client’s project site, except to the extent caused by RIM Camping’s gross negligence or willful misconduct.
9. Insurance
Client shall maintain, at its own expense, comprehensive general liability insurance, workers’ compensation insurance, and property insurance adequate to cover its obligations under these Terms and the applicable Agreement. Proof of insurance may be requested by RIM Camping before mobilization. RIM Camping maintains its own general liability and professional liability insurance policies.

12. Termination
12.1 By Client. Client may terminate a rental agreement with sixty (60) days’ written notice, subject to early termination fees as specified in the Agreement.
12.2 By RIM Camping. RIM Camping may terminate or suspend services immediately upon written notice if: (a) Client fails to pay invoices within fifteen (15) days of the due date; (b) Client breaches any material term of the Agreement; or (c) Client’s project site presents safety hazards that endanger our personnel or equipment.
12.3 Effect. Upon termination, all outstanding invoices become immediately due. Demobilization will proceed per Section 6.
13. Governing Law and Dispute Resolution
13.1 Governing Law. These Terms and any Agreements are governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.
13.2 Jurisdiction. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and the parties consent to personal jurisdiction and venue therein.
13.3 Arbitration. For disputes arising from Service Agreements, the parties agree to first attempt resolution through good-faith negotiation for thirty (30) days. If unresolved, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings held in Chicago, Illinois.
14. Miscellaneous
14.1 Entire Agreement. These Terms, together with any executed Service Agreements and Purchase Orders, constitute the entire agreement between the parties and supersede all prior discussions, representations, and agreements.
14.2 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver. Failure by RIM Camping to enforce any right under these Terms shall not constitute a waiver of that right.
14.4 Assignment. Client may not assign its rights or obligations under these Terms without our prior written consent. RIM Camping may assign its rights and obligations without restriction.
